Our services to the Seller include;

  • Evaluating the business and the owner’s goals to determine the issues which will affect the sale or divestiture and its financing.
  • Preparing a business memorandum including company and industry analysis, assessment of the quality of assets, the firm’s competitive advantages, financial projections, and review of the valuations of comparable transactions.
  • Presenting the company to qualified buyers in a manner which will ensure confidentiality and limit distraction to management.
  • Negotiating the transaction to closure, taking into account the tax aspects, management and employee ocntinuity, future liability, and the form and timing of consideration including earn-outs.  

Our services to the Buyer include:

  • Acquisition searches, including the formulation of acquisitions criteria, identifying and initiation contacts, assisting in the due diligence process, analyzing and negotiating the terms of the transaction to determine the optimum structure, valuation of the target, and the form and placement of the financing.
  • Management buyouts, including advising management on available options and appropriate course of action, presenting a plan to the Board of Directors, negotiating the terms of the transaction adnt the form and placement of financing.
  • Arranging financing of debt and/or equity to facilitate closure.
